Terms of Service

OCL Maritime LLC (“Company,” “we,” “us,” or “our”), a Wyoming Limited Liability Company, provides a maritime operations management platform including port call management, demurrage calculation, document processing, AIS vessel tracking, crew management, and related tools (collectively, the “Service”).

The Service is intended for professional maritime agencies, ports, terminals, shipyards, and related entities (“Business Users”). Individual consumer use is not the intended purpose.

You must create an account to use the Service. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access.

You must be at least 18 years of age and have legal authority to enter into these Terms on behalf of your organization.

The Service is offered under several subscription tiers (Starter, Pro, Hydro+, Port, Enterprise) with features and pricing as described on the pricing page. Prices are denominated in USD.

The Starter plan is provided free of charge for up to 30 days with limited features. Paid plans are billed monthly or annually in advance.

All fees are non-refundable except as expressly set forth in these Terms or as required by applicable law. We reserve the right to modify pricing with 30 days’ notice.

Failure to pay may result in suspension or termination of your account.

You agree not to: (a) violate any applicable laws or regulations; (b) transmit harmful, fraudulent, or misleading content; (c) attempt to gain unauthorized access to any part of the Service or its related systems; (d) reverse engineer, decompile, or disassemble the Service; (e) use the Service to infringe intellectual property rights; (f) resell or sublicense the Service without prior written consent.

Our Privacy Policy, incorporated herein by reference, describes how we collect, use, and share information. By using the Service, you consent to the practices described in the Privacy Policy.

You retain ownership of all data you upload to the Service (“Customer Data”). You grant us a limited license to process Customer Data solely to provide the Service.

We implement commercially reasonable technical and organizational measures to protect Customer Data. We will not sell Customer Data to third parties.

The Service, including all software, algorithms, and documentation, is the exclusive property of OCL Maritime LLC and is protected by intellectual property laws. These Terms do not grant you any ownership rights in the Service.

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service during your subscription term, solely for your internal business operations.

We strive to maintain high availability but do not guarantee uninterrupted access. We may perform scheduled maintenance with advance notice when feasible.

Enterprise plan customers may negotiate specific SLA terms via a separate Service Level Agreement.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OCL MARITIME LLC SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that calculations, analyses, or documents generated by the Service are legally binding or free from error. Users are responsible for verifying all output before use in commercial or legal contexts.

Either party may terminate these Terms at any time. You may cancel your subscription through your account settings. We may suspend or terminate your access for violation of these Terms, non-payment, or other legitimate business reasons.

Upon termination, you have 30 days to export your data. After that period, we may delete your data in accordance with our data retention policy.

These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict of law provisions.

Any disputes shall be resolved through binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.

We may modify these Terms at any time. We will notify you of material changes via email or prominent notice in the Service. Continued use of the Service after the effective date constitutes acceptance of the modified Terms.
